End-User License Agreement

Shinden QuickBooks Connector · Effective September 30, 2026

This End-User License Agreement ("Agreement") is between 1373223 B.C. Ltd. ("Shinden") and each person authorized by Shinden to use the Shinden QuickBooks Connector (the "App"). By connecting or using the App, you agree to this Agreement.

1. Purpose and eligibility

The App is an internal tool that lets authorized Shinden personnel view Shinden's own QuickBooks Online data through an AI assistant. Only people Shinden has authorized may use it, and only for Shinden business purposes. The App is not offered to the public or to other companies.

2. License

Shinden grants you a limited, non-exclusive, non-transferable, revocable license to use the App for the purpose described above. You may not copy, distribute, sublicense, sell or reverse engineer the App, or use it to access any QuickBooks company other than one Shinden has authorized.

3. QuickBooks and Intuit

The App connects to QuickBooks Online through Intuit's API. Your use of QuickBooks Online remains subject to Intuit's own terms. Intuit is not a party to this Agreement and is not responsible for the App. The App is not made, endorsed or supported by Intuit. QuickBooks is a trademark of Intuit Inc.

4. Read-only access and acceptable use

The App requests read-only use of QuickBooks accounting data and does not create, modify or delete records. You agree not to use the App to breach any law, anyone's privacy, or the terms of Intuit or Anthropic. You also agree not to share the App's credentials or tokens with anyone who is not authorized.

5. AI-generated answers

Answers are produced by an AI assistant from data retrieved from QuickBooks Online. They may be incomplete or wrong. Check important figures in QuickBooks Online before relying on them for financial, tax, legal or business decisions. The App does not provide accounting, tax or legal advice.

6. Privacy

How the App handles information is described in the Privacy Policy, which forms part of this Agreement.

7. Disclaimer of warranties

The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Shinden is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or revenue, arising from use of the App.

9. Termination

Shinden may suspend or end your access at any time. You may stop using the App at any time. The App can be disconnected from QuickBooks Online under Settings → Apps. Sections 5, 7, 8 and 10 continue to apply after termination.

10. Governing law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. The courts of that province have exclusive jurisdiction.

11. Changes and contact

Shinden may update this Agreement. Continued use after an update means you accept it. Questions: hello@shinden.ca.
